Terms of Use

These Terms of Use (“Terms”) govern access to and use of the Office Planners® website, platform and related services (collectively, the “Platform”), operated by Smartmove Global Platforms Private Limited (“Office Planners”, “we”, “us” or “our”).
By accessing, registering with or using the Platform, you agree to these Terms and the policies incorporated into them by reference. These Terms should be read together with our Admin & Governance Policy, Privacy Policy, Refund & Cancellation Policy, applicable membership terms and any engagement-specific terms agreed between the relevant parties.

Office Planners® is a brand and registered trademark owned and operated by Smartmove Global Platforms Private Limited, a company incorporated in India.

What Office Planners Does

Office Planners operates a governed B2B services marketplace that facilitates introductions between businesses (“Clients”) and independent third-party service providers (“Partners”).

Office Planners may facilitate partner discovery, verification, matching, communication, documentation, commercial coordination, payment coordination, engagement tracking, feedback and issue escalation.

Unless expressly stated otherwise for a particular engagement, Office Planners is not the provider of the underlying professional, technical or operational services performed by a Partner.

Partners operate as independent businesses and remain responsible for the services they provide, including their personnel, subcontractors, licences, registrations, statutory compliance and professional obligations.

Office Planners is not authorised to bind a Client or Partner to obligations outside the applicable engagement terms, and no Client or Partner may make representations, warranties or commitments on behalf of Office Planners unless expressly authorised in writing.

Eligibility & Authority

Users must be legally capable of entering into a binding contract under applicable law.

Individuals using the Platform on behalf of a company, partnership, LLP, proprietorship or other organisation represent that they have appropriate authority to act for and, where applicable, bind that organisation.

Users are responsible for providing accurate, current and complete information.

Membership

Certain Platform services or benefits may require paid membership. Applicable membership fees, benefits, validity periods, GST as applicable and renewal terms will be communicated before purchase.

Partner membership remains subject to verification and approval by Office Planners.

Payment of a membership fee does not guarantee verification, exclusivity, enquiries, introductions, minimum business volume, revenue or successful engagements except where expressly committed in writing.

Membership cancellation and refund eligibility are governed by the applicable Refund & Cancellation Policy and membership terms.

Partner Verification

Office Planners carries out reasonable verification of Partners appropriate to the nature and category of services involved. Verification may include identity, business-registration, portfolio, reference, licence, certification or other relevant checks.

Verification is intended to reduce marketplace risk but does not constitute a warranty or guarantee regarding a Partner's future performance, financial standing, quality, suitability, availability, compliance or outcome of any particular engagement.

Clients remain responsible for reviewing and approving the Partner, proposal, scope and commercial terms relevant to their engagement.

Client & Partner Responsibilities

Clients and Partners must:

  • provide accurate and complete information;
  • act lawfully, professionally and in good faith;
  • comply with applicable laws and regulations;
  • maintain necessary licences, registrations and permissions;
  • comply with agreed scope, commercial and payment terms;
  • protect confidential information;
  • provide required approvals and information within reasonable timelines; and
  • comply with the applicable Office Planners governance and transaction process.

Clients are responsible for ensuring that requirements, specifications, quantities, site information and other information supplied for an engagement are accurate.

Partners are responsible for confirming the scope before commencement and for delivering services in accordance with the agreed engagement terms.

Material changes to an approved scope may require revised pricing, timelines or other commercial terms and should be documented and approved before the additional or changed work proceeds.

Introduction Protection & Anti-Circumvention

Office Planners' applicable platform, facilitation or success fees apply only to opportunities introduced or facilitated through Office Planners. They do not apply to a Partner's genuine pre-existing clients or independently sourced opportunities where Office Planners was not involved.

Where Office Planners introduces a Client and Partner, neither party shall knowingly or deliberately, directly or indirectly, bypass or circumvent Office Planners for the purpose of avoiding applicable fees or agreed commercial terms relating to that introduction.

Subject to applicable law and the relevant engagement terms, introduction protection applies:

  • during active membership; and
  • for twelve (12) months from the relevant Office Planners introduction, including where membership subsequently expires or is not renewed.

The detailed commercial consequences of circumvention, including applicable fees, may be specified in the relevant Partner Agreement, membership terms or engagement terms.

Fees, Taxes & Payments

Applicable membership, platform, facilitation, success or other fees will be communicated through the relevant membership, Partner Agreement or engagement terms.

Unless expressly stated otherwise, quoted Office Planners fees are exclusive of applicable taxes. Each Client and Partner remains responsible for its own tax, invoicing and statutory obligations except to the extent an obligation is imposed on Office Planners by applicable law.

Payments for governed engagements may be processed through an authorised third-party payment gateway, banking channel or other approved payment mechanism designated for the relevant transaction. Payments may be linked to agreed milestones, deliverables or payment schedules.

Payment, settlement, cancellation and refund conditions applicable to an engagement will be communicated through the relevant commercial terms and policies.

Office Planners is not responsible for delays, interruptions or failures caused solely by banks, payment gateways or other third-party payment infrastructure outside its reasonable control, subject to applicable law.

Failed Payments, Reversals & Chargebacks

Users must not improperly initiate or facilitate payment reversals or chargebacks for validly authorised and delivered services.

Failed payments, payment reversals, chargebacks, fraudulent transactions, gateway deductions or other payment disputes may be investigated and handled in accordance with the applicable engagement terms, payment-provider procedures and law.

Office Planners may suspend further transaction processing or Platform access while a material payment dispute remains unresolved.

Prohibited Conduct

Users must not:

  • provide materially false or misleading information;
  • impersonate another person or organisation;
  • use the Platform for unlawful or fraudulent activity;
  • infringe intellectual-property or confidentiality rights;
  • introduce malware or interfere with Platform security;
  • misuse Client, Partner or Platform information;
  • deliberately manipulate ratings, feedback or verification;
  • attempt unauthorised access to Platform systems;
  • deliberately circumvent applicable Office Planners fees or transaction processes; or
  • use another person, affiliate or entity primarily to evade a suspension, restriction or contractual obligation.

Office Planners may investigate suspected misuse and take appropriate action under these Terms.

Intellectual Property

The Office Planners® name, logo, Platform, website content, software, design, databases and other proprietary materials are owned by or licensed to Smartmove Global Platforms Private Limited and are protected under applicable intellectual-property laws.

No user receives any ownership interest in Office Planners intellectual property by using the Platform. Users may not reproduce, modify, distribute, commercially exploit or misuse Office Planners intellectual property except with written permission or as otherwise permitted by law.

Ownership of deliverables created by a Partner for a Client will be determined by the applicable engagement terms.

Third-Party Services & Partner Performance

Partners are independent third-party businesses. Office Planners does not control every aspect of a Partner's operations and, except to the extent expressly agreed or required by law, does not guarantee:

  • quality or suitability;
  • uninterrupted availability;
  • delivery timelines;
  • commercial outcomes;
  • regulatory or professional outcomes; or
  • continued financial or operational capability of a Partner.

Office Planners may assist with governance, escalation or alternative matching but does not guarantee that every dispute or service issue can be resolved.

Disclaimers

To the maximum extent permitted by applicable law, the Platform is provided on an “as available” basis. Office Planners does not warrant that the Platform will always be uninterrupted, error-free or suitable for every business requirement.

Nothing in these Terms excludes rights, warranties or remedies that cannot lawfully be excluded.

Limitation of Liability

To the maximum extent permitted by applicable law, Office Planners shall not be liable for any indirect, incidental, special, consequential or loss of profits, revenue, business, opportunity, goodwill or data arising from use of the Platform or an engagement facilitated through it, except where such limitation is prohibited by law.

To the maximum extent permitted by applicable law, Office Planners' aggregate liability arising out of or relating to the Platform, membership or any engagement shall not exceed the total fees actually paid to Office Planners by the affected Client or Partner in connection with the specific membership or engagement giving rise to the claim.

Where no fee has been paid to Office Planners in connection with the matter giving rise to the claim, Office Planners' liability shall be limited to the extent permitted by applicable law.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited.

Indemnification

To the extent permitted by applicable law, Clients and Partners agree to indemnify and hold harmless Office Planners and Smartmove Global Platforms Private Limited from third-party claims, losses, liabilities, costs and expenses arising from or attributable to their:

  • material breach of these Terms or engagement terms;
  • materially false or misleading representations;
  • violation of applicable law;
  • infringement of third-party intellectual-property rights;
  • breach of confidentiality or applicable data obligations;
  • acts or omissions in providing or receiving services;
  • employees, personnel or subcontractors; or
  • taxes, licences, registrations or statutory obligations for which they are legally responsible.

The scope and procedure of any indemnity shall remain subject to applicable law and relevant contractual terms.

Suspension & Termination

Office Planners may suspend, restrict or terminate access to the Platform for reasons including:

  • material breach of these Terms;
  • fraud or material misrepresentation;
  • non-payment;
  • deliberate circumvention;
  • serious or repeated complaints;
  • unlawful conduct;
  • security concerns; or
  • conduct materially harmful to the Platform or its users.

Where reasonably appropriate, Office Planners may provide notice or an opportunity to respond.

Termination does not automatically extinguish payment obligations, confidentiality obligations, accrued rights or other provisions intended to survive termination.

Governing Law & Jurisdiction

These Terms are governed by the laws of India. Subject to the dispute-resolution provisions below, courts having competent jurisdiction at Gurugram, Haryana shall have jurisdiction over disputes arising from these Terms, subject to applicable law.

Dispute Resolution & Arbitration

The parties shall first make reasonable efforts to resolve disputes amicably through the Office Planners grievance and escalation process.

Where a dispute cannot be resolved amicably and is legally capable of being referred to arbitration, it may be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time.

The seat and venue of arbitration shall be Gurugram, Haryana, unless otherwise agreed in writing. Proceedings shall be conducted in English.

The arbitrator shall be appointed in accordance with a mutually agreed process and applicable law.

Nothing in this clause prevents a party from seeking urgent or interim relief from a court or tribunal of competent jurisdiction where permitted by law.

Force Majeure

Office Planners will not be responsible for delays or failures caused by events outside its reasonable control, including natural disasters, government action, major infrastructure failure, telecommunications or internet outages, payment-system disruption or other force-majeure events, subject to applicable law.

Relationship Between Documents

These Terms should be read together with:

  • the Admin & Governance Policy;
  • Privacy Policy;
  • Refund & Cancellation Policy;
  • applicable membership terms;
  • Partner Agreement, where applicable; and
  • engagement-specific scope and commercial terms.

Where different documents apply to the same matter, their interpretation and priority will be determined by the applicable contractual terms and law.

Changes to These Terms

Office Planners may update these Terms from time to time to reflect changes to the Platform, operating model, legal requirements or services. The latest revision date will be displayed on this page.

Material changes affecting active users or engagements may also be communicated directly where reasonably required. Changes will apply in accordance with applicable law and the relevant contractual arrangements.

Severability & Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

Failure by Office Planners to immediately exercise or enforce a right does not automatically constitute a waiver of that right.
